1. Agreement to These Terms
These Terms of Service ("Terms") are a legally binding agreement between you and Endura Pinnacle LLC, a California limited liability company ("Endura Pinnacle," "we," "us," or "our"), and govern your access to and use of the website located at endurapinnacle.com, including all of its pages, content, features, and contact form (collectively, the "Site").
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, please do not use the Site.
If you access or use the Site on behalf of a company or other organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.
2. About Our Services; Informational Website Only
Endura Pinnacle LLC provides smart vending machine placement, stocking, maintenance, and related services to businesses and other locations throughout Los Angeles County, California. The Site describes those services and allows prospective clients to contact us.
No sales through the Site. We do not sell products, accept payments, or process transactions of any kind through the Site.
Informational content; no offer. All content on the Site, including statements about cost (such as no-cost machine placement), installation timelines (such as typical installation within 2–5 business days), product selection, machine features, service coverage, and availability, is provided for general informational purposes only. Such statements are good-faith estimates and descriptions, not binding offers, promises, or guarantees. Machine placement is subject to our evaluation of each location and to mutual agreement between the parties.
A separate written agreement governs our services. Any placement of a vending machine and any related services will be governed by a separate written agreement between Endura Pinnacle LLC and the owner or authorized manager of the location (a "Placement Agreement"). If there is any conflict between the Site's content and a signed Placement Agreement, the Placement Agreement controls. These Terms govern only your use of the Site.
3. Eligibility
The Site is intended for use by individuals who are at least 18 years old and who are inquiring on behalf of a business or organization or for other lawful purposes. By using the Site, you represent that you meet these requirements.
4. Contact Form and Communications
Accurate information. When you submit our contact form or otherwise communicate with us, you agree to provide information that is true, accurate, and current, and you represent that you are authorized to share it, including any information about your company.
Consent to be contacted. By submitting your contact information (including your phone number) through the Site, you consent to Endura Pinnacle LLC contacting you by phone call, text message, and/or email regarding your inquiry and our services. Message and data rates may apply to text messages. You may opt out of text messages at any time by replying STOP or by telling us your preference, and you may opt out of marketing emails by using the unsubscribe method provided or by contacting us.
Consent to receive text messages is not a condition of purchasing or receiving any service from us.
No confidential submissions. The contact form is not a secure channel for sensitive information. Please do not submit Social Security numbers, payment card numbers, health information, or other sensitive personal information through the Site.
No relationship created. Submitting the contact form does not create a client relationship and does not obligate you or us in any way. Obligations arise only under a signed Placement Agreement.
5. Acceptable Use
You agree that you will not:
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
- Submit false, misleading, or fraudulent information, or impersonate any person or entity;
- Use the contact form to send spam, advertisements, or solicitations unrelated to our services;
- Interfere with or disrupt the Site or the servers and networks that host it;
- Attempt to gain unauthorized access to any portion of the Site or any related systems;
- Use any robot, spider, scraper, or other automated means to access the Site or to collect content or personal information from it;
- Introduce viruses, malware, or other harmful code; or
- Copy, frame, or mirror any part of the Site without our prior written permission.
We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities.
6. Intellectual Property
Our content. The Site and all of its content, including text, graphics, images, logos, page layouts, and videos we create, are owned by Endura Pinnacle LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. The "Endura Pinnacle LLC" name and the Endura Pinnacle logo are trademarks of Endura Pinnacle LLC. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site and its content for the purpose of learning about and evaluating our services. Any other use, including reproduction, distribution, modification, public display, or commercial exploitation, requires our prior written consent.
Third-party marks. Product, brand, and company names and images that appear on the Site, including snack and beverage brands, payment marks such as Apple Pay and Google Pay, and vending equipment or technology brands, are the trademarks of their respective owners and are used for identification purposes only. Their appearance does not imply any affiliation with, sponsorship by, or endorsement from those owners.
7. Feedback
If you send us ideas, suggestions, or other feedback about the Site or our services, you agree that we may use it without restriction or compensation to you, and that it is not confidential.
8. Third-Party Content and Links
The Site may contain embedded content (such as YouTube videos) and links to third-party websites or services. We do not control third-party content or websites; we provide them for convenience only, and we are not responsible for them. Your use of third-party content and websites is governed by those parties' own terms and privacy policies.
9. Disclaimer of Warranties
THE SITE AND ALL OF ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. SITE CONTENT IS GENERAL INFORMATION ONLY, MAY CONTAIN ERRORS OR BECOME OUTDATED, AND MAY BE CHANGED AT ANY TIME WITHOUT NOTICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ENDURA PINNACLE AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply only to your use of the Site. They do not limit any liability under a signed Placement Agreement, and they do not apply to any liability that cannot be limited or excluded under applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Endura Pinnacle LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.
12. Governing Law; Venue; Time to Bring Claims
These Terms and any dispute relating to the Site are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Endura Pinnacle LLC agree that the state and federal courts located in Los Angeles County, California, will have exclusive jurisdiction over any such dispute, and each party consents to personal jurisdiction and venue in those courts. To the extent permitted by applicable law, any claim relating to the Site must be filed within one (1) year after the claim arises, or it will be permanently barred.
13. Changes to the Site and These Terms
We may modify, suspend, or discontinue the Site (or any part of it) at any time. We may also revise these Terms from time to time. When we do, we will post the updated Terms on this page with a new "Last Updated" date and, for material changes, we will provide reasonable notice, such as a prominent notice on the Site. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.
14. Termination
We may suspend or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms or applicable law. The sections of these Terms that by their nature should survive termination, including the intellectual property, feedback, disclaimer, limitation of liability, indemnification, governing law, and general provisions sections, will survive.
15. Notice to California Users
Under California Civil Code Section 1789.3, California users of the Site are entitled to the following notice: the Site is provided by Endura Pinnacle LLC, Los Angeles, California. 16. General Provisions
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Endura Pinnacle LLC regarding your use of the Site and supersede any prior understandings on that subject; they do not replace or modify any signed Placement Agreement. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it, and any waiver must be in writing. We may assign these Terms; you may not assign them without our prior written consent. You consent to receive notices and other communications from us electronically, by email, or by posting on the Site, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. Section headings are for convenience only and have no legal effect.
